Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Material Scanner mobile application ("App") operated by Bizsmart LLC ("we", "us", or "our"). By downloading or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the App. By using the App you represent that you meet this requirement.

2. Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for your personal or internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the App, nor reverse-engineer or attempt to extract the source code.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@materialscanner.com if you suspect unauthorised use.

4. Subscriptions and Billing

Material Scanner offers a free tier and a Pro subscription. The following terms apply to Pro subscriptions:

• Pricing: Pro is available at $14.99 per month or $149.00 per year (approximately 17% saving).
• Free trial: New subscribers may receive a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel at least 24 hours before the renewal date. Your payment method will be charged within 24 hours before the end of the current period.
• Cancellation: You may cancel your subscription at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period — you retain Pro access until then, and no partial refunds are issued for unused time.
• Managing your subscription on iOS: Open the Settings app on your iPhone, tap your Apple ID, then Subscriptions, and select Material Scanner.
• Managing your subscription on Android: Open the Google Play Store app, tap your profile icon, then Payments & subscriptions, then Subscriptions, and select Material Scanner.
• Price changes: We may change subscription prices. We will give you reasonable notice of any price change. Continued use after the effective date constitutes acceptance of the new price.

5. Free Tier

The free tier gives you access to limited features, including up to 3 scans per day and single-item searches. You can use the free tier without providing payment information.

6. Acceptable Use

You agree not to use the App to:

• Violate any applicable law or regulation.
• Scrape, harvest, or systematically retrieve data from the App.
• Interfere with or disrupt the integrity or performance of the App or its underlying infrastructure.
• Attempt to gain unauthorised access to any system or network connected to the App.
• Use the App for any commercial purpose other than your own internal business use without our prior written consent.

7. Third-Party Services

The App integrates with third-party services including mapping providers, supplier pricing APIs, and fuel-price data services. We are not responsible for the accuracy, availability, or terms of those third-party services. Supplier prices, stock levels, and store hours shown in the App are sourced from third parties and may not reflect real-time conditions — always confirm with the supplier before travelling.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be error-free, uninterrupted, or free of harmful components. Price and availability data displayed in the App is for informational purposes only and is not guaranteed to be accurate or current.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Bizsmart LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the App, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

10. Intellectual Property

All content, features, and functionality of the App — including but not limited to the Total Acquisition Cost (TAC) engine, False Economy detection logic, text, graphics, and source code — are owned by Bizsmart LLC or its licensors and are protected by applicable intellectual property laws. Patent Pending.

11. Account Deletion

You may delete your account at any time from within the App (Settings → Delete Account). Deleting your account permanently removes your profile, scan history, and associated data. If you have an active Pro subscription, please cancel it in your App Store or Google Play subscription settings before deleting your account — your subscription is not automatically cancelled when you delete your account.

12. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, if you breach these Terms or if we decide to discontinue the App. Upon termination, your right to use the App immediately ceases.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in the United States.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App or on this page with a revised "last updated" date. Continued use of the App after the effective date constitutes acceptance of the revised Terms.
